Acceptance of terms
By accessing this website or engaging our services, you agree to these terms. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.
Services and scope
Each engagement is defined by a written proposal or statement of work setting out deliverables, timeline, assumptions and price. Where a proposal conflicts with these terms, the proposal governs for that engagement.
Work outside an agreed scope requires a written change order before it begins.
Client responsibilities
You agree to provide timely access to information, systems, stakeholders and approvals reasonably required for delivery. Delays caused by outstanding client inputs may shift timelines and, where material, costs.
Fees and payment
Fixed-scope projects are invoiced per the payment schedule in the proposal. Retainers are invoiced monthly in advance. Invoices are payable within 15 days unless agreed otherwise.
Overdue balances beyond 30 days may incur interest at 1.5% per month and may result in suspension of work.
Intellectual property
On receipt of final payment, ownership of deliverables created specifically for you transfers to your company. We retain ownership of our pre-existing methods, tools, templates and know-how, and grant you a perpetual licence to use them as embedded in the deliverables.
Confidentiality
Each party will protect the other's confidential information with at least reasonable care and will use it only to perform the engagement. These obligations survive termination for three years.
Warranties and disclaimers
We warrant that services will be performed in a professional and workmanlike manner by suitably qualified personnel. Except as expressly stated, services and website content are provided without other warranties of any kind.
We do not guarantee specific business results, rankings or revenue outcomes, as these depend on factors outside our control.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential losses. Our total aggregate liability for any engagement is limited to the fees paid to us for that engagement in the preceding twelve months.
Termination
Retainers may be terminated by either party with 30 days' written notice after the initial 90-day term. Fixed-scope projects may be terminated for material breach that remains uncured after 15 days' written notice. Fees for work performed up to termination remain payable.
Governing law
These terms are governed by the laws of the State of Missouri, USA, and the parties submit to the exclusive jurisdiction of the courts located in Jackson County, Missouri.
